Sustainable Media Group - Advertising & Commercial Partner Terms and Conditions

These Advertising and Commercial Partner Terms & Conditions ("Terms") govern the relationship between Sustainable Media Group Ltd. ("SMG", "we", "us", or "our"), the parent company of Sustainable Times, and advertisers, sponsors, and commercial partners ("Partner", "Advertiser", or "you").

By placing an advertisement, sponsoring content, or entering a commercial partnership with Sustainable Times, you agree to these Terms.

 

1. Definitions

1.1 "Advertiser" refers to any company, individual, or entity purchasing advertising or sponsorship services from SMG.
1.2 "Campaign" refers to the agreed promotional activity, including advertisements, sponsorships, and partnerships.
1.3 "Insertion Order" (IO) refers to the formal order document outlining specific campaign details, pricing, and deliverables.
1.4 "Content" includes but is not limited to display ads, native ads, sponsored content, webinars, email promotions, and event sponsorships.
1.5 "Platform" refers to any media owned or operated by SMG, including but not limited to websites, social media channels, events, and newsletters.

 

2. Booking & Acceptance

2.1 All advertising and sponsorship bookings must be confirmed via a signed Insertion Order (IO) or written confirmation.
2.2 SMG reserves the right to refuse, reject, or remove any advertisement or sponsorship content that does not align with our editorial standards, values, or legal obligations.
2.3 Acceptance of an IO does not imply endorsement of the Advertiser or their products/services.

 

3. Content & Compliance

3.1 Advertiser is responsible for ensuring all provided content:

  • Complies with UK advertising laws, including the CAP Code (Committee of Advertising Practice).

  • Does not contain false, misleading, defamatory, or offensive material.

  • Does not infringe intellectual property rights or third-party rights.

  • Complies with data protection regulations, including GDPR.
    3.2 SMG reserves the right to modify, reject, or remove any content that fails to meet these requirements.

 

4. Payment & Fees

4.1 Advertisers must pay in full as per the agreed payment terms outlined in the IO. Standard payment terms are 30 days from the invoice date, unless otherwise stated.
4.2 Late payments may result in:

  • Suspension or cancellation of the campaign.

  • Interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
    4.3 Prices quoted are exclusive of VAT and applicable taxes, unless stated otherwise.

 

5. Cancellations & Amendments

5.1 Cancellation requests must be made in writing. The following cancellation fees apply:

  • 30+ days before campaign start: No charge.

  • 15-29 days before campaign start: 50% of the agreed fee.

  • Less than 15 days before campaign start: 100% of the agreed fee.
    5.2 Campaign amendments may be accepted at SMG’s discretion and may be subject to additional charges.

 

6. Performance & Reporting

6.1 SMG will make reasonable efforts to deliver the agreed impressions, placements, or engagement metrics. However, no guarantees are made regarding specific results unless explicitly agreed in writing.
6.2 Reporting on campaign performance will be provided as per the agreed schedule in the IO.

 

7. Liability & Indemnity

7.1 SMG shall not be liable for:

  • Any loss of revenue, business, or anticipated savings due to advertising performance.

  • Delays or interruptions due to technical issues, force majeure, or external disruptions.
    7.2 The Advertiser indemnifies SMG against any claims, damages, or legal actions arising from their content or campaign materials.

 

8. Intellectual Property

8.1 All content supplied by the Advertiser remains their intellectual property.
8.2 Advertiser grants SMG a non-exclusive, worldwide license to use, display, and distribute their content as part of the campaign.
8.3 SMG retains all rights to its platforms, data, and proprietary formats used in campaign execution.

 

9. Data Protection & Privacy

9.1 Both parties agree to comply with the General Data Protection Regulation (GDPR) and any applicable UK data protection laws.
9.2 SMG does not share advertiser data with third parties unless required for campaign execution.

 

10. Termination

10.1 SMG reserves the right to terminate an agreement with immediate effect if the Advertiser:

  • Breaches any material term of this agreement.

  • Engages in unlawful, unethical, or misleading advertising.

  • Fails to pay within the agreed terms.

 

11. Governing Law & Jurisdiction

11.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
11.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

12. Amendments & Updates

12.1 SMG reserves the right to update these Terms from time to time. Advertisers will be notified of significant changes.
